A Federal Tax ID Number, also known as an Employer Identification Number or EIN, is basically a Social Security Number (SSN) for a business. It is the number the Internal Revenue Service (IRS) uses to identify the business and it must be included on all tax filings the business makes. Also, banks generally require a Federal Tax ID (EIN) Number to open a business bank account.

If you currently operate your business as a sole proprietorship or general partnership and are now looking to incorporate or form a limited liability company (LLC), you must obtain a new Federal Tax ID (EIN) Number for your business.

Plaza Company Wizard obtains your Federal Tax ID (EIN) Number from the IRS on behalf of your business. The typical turn-around time for this service is 2-3 days after we receive approval of your formation filing from the state. Once Plaza Company Wizard receives the Federal Tax ID (EIN) Number from the IRS, the completed form will be available within the Online Corporate Status Center and the EIN will be emailed to the address on file.

In order to obtain the Federal Tax ID (EIN) Number for your business, you must provide your SSN or Individual Tax Identification Number (ITIN). If you do not have a SSN, you must obtain an ITIN from the IRS prior to being able to apply for the Federal Tax ID (EIN) Number for your business. BizFilings does not assist with form preparation or the obtainment of the ITIN.

In addition to the SSN/ITIN prerequisite imposed by the IRS, the individual applying for the Federal Tax ID (EIN) Number is also required to provide a physical US address, PO Boxes are not acceptable.

Certificate of Good Standing

A certificate of good standing (also known as a certificate of existence or certificate of authorization) is a document issued by a state official as conclusive evidence that a corporation or LLC is in existence or authorized to transact business in the state, and that the company is in compliance with all state-required formalities.

The Certificate of Good Standing generally sets forth the corporation's or LLC’s name; that it is duly incorporated or organized and authorized to transact business in that state; that all fees, taxes and/or any applicable penalties owed the state have been paid; that the company’s most recent annual report has been filed; and that articles of dissolution for the company have not been filed.

Certified Copy

As states update their technology and processes for accepting formation, foreign qualification and other documents, the state-approved versions of these documents can often look plain. Even though official, some business owners wish to have a certified copy of these documents. A certified copy is a true and exact copy of your company’s formation or other state filed document as issued by the state of formation.

Keeping the original of your formation documents or any other state-filed document with your company records records is important. If the original(s) are ever lost or misplaced, requesting a certified copy from the state of formation or qualification is advisable.

Additionally, a certified copy of your company’s formation documents is often needed in order to open a bank account or to foreign qualify your company to transact business in another state.

Apostille

An Apostille is a method of certifying a document for use in another country pursuant to the 1961 Hague Convention. With certification by Apostille or gold seal, your articles of incorporation (for corporations) or articles of organization (for limited liability companies) are entitled to recognition in the country of intended use, and no additional certification or legalization by the embassy or consulate of the foreign country where the document is to be used is required.

An apostillized copy of the articles of incorporation or articles of organization is often required to open a bank account in another country for a US-incorporated business. Please note, certain countries require a certified copy of the articles of incorporation/organization with an appropriate gold seal instead of an apostillized copy.

If an Apostille or certified copy with gold seal is ordered after the formation of the corporation or limited liability company (LLC) is complete, you may also need to pay an additional fee (which varies by state) to obtain the state-issued document you wish to have apostillized.
